GoToMoney - a product by SHIFTERS - CONSULTORIA E SOFTWARE LTDA. - EPP

The GoToMoney Service and the underlying technologies are the property of SHIFTERS - CONSULTORIA E SOFTWARE LTDA. - EPP.

IMPORTANT B2B NOTICE: GoToMoney is a specialized corporate service, strictly intended for business-to-business (B2B) use. By using this service, the User declares and warrants that they are acquiring the creative assets for commercial, advertising, professional or corporate purposes, and not as a basic individual consumer.

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING OUR SERVICES. BY ACCESSING OR USING GOTOMONEY.AI, THE USER AGREES TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE WITH ANY PART OF THESE TERMS, YOU MUST NOT USE OUR SERVICES.

1. DEFINITIONS

  • "Agreement" means these Terms of Service.
  • "Company", "we", "us" or "our" refers to SHIFTERS - CONSULTORIA E SOFTWARE LTDA. - EPP, registered under CNPJ/MF: 15.563.090/0001-04, which operates GOTOMONEY.AI.
  • "Services" means the GoToMoney platform, the artificial intelligence image-generation engine and all delivery features via WhatsApp.
  • "Single Batch" means the purchase of a single generated package delivering 40 visual assets.
  • "Subscription" means the recurring payment plan for requests of multiple monthly batches (e.g. Zero Fatigue Plan, Scale Plan).
  • "Input Data" refers to the URL (website/social network), Texts or Logo Files provided by the User to guide the AI engine.
  • "Generated Assets" means all creative output (rendered images, overlaid text, 1:1 and 9:16 formats) delivered by the Services.
  • "User", "you" or "your" refers to any individual, agency, traffic manager, e-commerce owner or legal entity that accesses or uses the Services.

2. DESCRIPTION OF SERVICES

2.1. GoToMoney provides an Artificial Intelligence-powered engine capable of mapping business positioning from an Input (URL/Text/Logo) and generating hyper-realistic visual assets aimed at conversion on social media and paid media.

2.2. The standard batch consists of an architecture of 40 visual assets (10 base concepts multiplied into 2 variations, rendered in 2 formats).

2.3. The express delivery speed (e.g. 3 hours / 180 minutes) is conditioned on the order's approval within business hours and financial release via the gateway.

3. ELIGIBILITY AND REGISTRATION

3.1. Age Requirement: The User must be at least 18 years old.

3.2. Corporate Authority: When placing an order on behalf of a third-party company or agency, you declare and warrant that you have authority to use that entity's links, logos and trademarks.

3.3. WhatsApp Contact: The User agrees to provide a valid WhatsApp number, through which the service and deliveries will be exclusively managed.

4. PRICING, SCORE 8 GUARANTEE AND BILLING

Our billing mechanics are governed by a conditional approval flow (the "Score 8 Guarantee"):

4.1. Start Trigger: To start express production and the timer, we process a symbolic amount of $1 via Stripe on your credit card as validation and to release the queue.

4.2. Delivery and Evaluation: The User receives the Generated Assets on WhatsApp and has the stated deadline (e.g. 48 hours) to rate the batch (0 to 10).

4.3. Approval (Score 8-10): If you give a score of 8, 9 or 10, we consider the service validated and the automatic charge of the full balance (e.g. $39) is processed on the card used, with the sale deemed FINAL and IRREVERSIBLE at that moment.

4.4. Rejection (Score below 8): If you give a score below 8, the balance ($39) will not be charged, the initial $1 is refunded upon request, and the User retains the right to use that material free of charge. The cancellation of the charge is irrevocable for the transaction in question and prevents future debits.

4.5. Recurring Subscriptions and Currency: Plans such as "Zero Fatigue" and "Scale" are charged in full in advance for each recurrence (monthly). Billing follows the Stripe/PagSeguro gateway in BRL (Brazilian Reais). Cancellation of renewal can be done at any time before the next billing cycle.

5. SERVICE LEVEL AGREEMENT (DELIVERY SLA) AND "FREE PACKAGE"

5.1. The 180-minute (3-hour) express delivery deadline begins EXCLUSIVELY after manual approval of the input by our team on WhatsApp and confirmation of the $1 trigger by the gateway, counted only during business hours (informed at the time of interaction).

5.2. If, after the start of the official validated timer, our team fails to deliver the Generated Assets within the contracted 3 hours, the User will not pay the $39 balance, which will be cancelled, and the batch (once finished) will be delivered 100% free of charge.

6. INTELLECTUAL PROPERTY AND USAGE RIGHTS

6.1. What YOU own: 100% of the commercial usage rights (white-label) of the Generated Assets delivered to run your ads, as well as full ownership over your Logo(s) submitted in the Input.

6.2. What Shifters owns: Shifters retains 100% exclusive ownership of the GoToMoney engine, hidden prompt architecture (our "Creative Brain"), UI, visual routing logic and the AI technology integrations used in the backend.

7. DATA UPLOADS AND PROHIBITED CONTENT

7.1. Agency Responsibility: Agencies or Traffic Managers using the "Scale" plan on behalf of clients warrant that they have authorization to submit Logos and request ads for those brands.

7.2. Strict Prohibition: It is expressly forbidden to submit inputs to create creatives focused on legally restricted niches ("Black Niche" criminal activity), fraud, exploitation, or infringing on the registered trademarks of competitors that do not belong to you.

7.3. No Model Training: We do not store your Logo and your final ads to train Shifters' base models; the AI panels generated are isolated to your execution.

8. CANCELLATION POLICY AND NO REFUNDS (POST-APPROVAL)

8.1. By using the service, the User benefits from an exclusionary commercial protective barrier (the "Score 8 Guarantee"). Since the User CONTROLS the payment through their evaluation, ONCE THE BATCH IS APPROVED WITH A HIGH SCORE (8 to 10) and the transaction processed, there is no room for refund, due to the nature of extreme computational allocation (irreversible cost of image APIs).

8.2. The User expressly waives late or retroactive refunds claiming regret after giving explicit positive approval of the generated visual work and commercially transacting the files on their device or WhatsApp.

9. LIMITATION OF LIABILITY AND ADVERTISING (ADS) RULES

9.1. GoToMoney generates visual pieces with short texts on algorithmic demand. The User assumes 100% of the responsibility for reviewing images and copy to validate compliance with advertising restrictions and compliance rules of external platforms (Meta Ads, Facebook/Google Ads Policies, FTC, ANS, CONAR, GDPR/LGPD).

9.2. The AI is subject to spelling distortions ("hallucinations") in small rendered texts and image artifacts.

9.3. Shifters cannot guarantee a specific ROAS or CPA (Cost per Acquisition) on campaigns, nor is it responsible in any way for rejected ads, ad account blocks (bans), or capital lost in paid traffic based on these creatives.

10. MODIFICATIONS TO THE TERMS

We reserve the right to modify this Agreement at any time. Material changes will be communicated via WhatsApp, email or on the website. Continued use constitutes acceptance.

11. GOVERNING LAW AND DISPUTE RESOLUTION

11.1. Governing Law: This Agreement is governed by and interpreted in accordance with the laws of Brazil.

11.2. Arbitration and Jurisdiction (B2B): Any dispute will preferably be resolved under arbitration guidelines in the city of São Paulo/SP, Brazil, under local laws and rules applicable to B2B transactions. Class actions are expressly waived.
